Corporate M&A Attorney

Are you an experienced corporate attorney that is looking for a better work/life balance? Are you passionate about M&A but worn down from grueling billable requirements? We are looking for an Corporate M&A Attorney to join our team to assist with our growing volume of matters involving corporate governance and business acquisitions . This role will involve forming and structuring business entities, maintaining corporate formalities, drafting and negotiating M&A deals, capital raising, and drafting various business contracts and other legal documents. As a Corporate M&A Attorney, you will work under a senior managing attorney, but you will be expected to work fairly independently, manage case files, assess the needs of the clients and projects, and maintaining strong client relationships. Our ideal applicant has 4-6 years of experience, preferably focused on corporate law, mergers & acquisitions, and contracts. Experience with securities or intellectual property laws is a plus. This will be a part-time position to start, 20-30 hours per week, with the potential to grow into a full-time role within 6-12 months. You can adapt to changing priorities with minimal error and a positive demeanor. You believe in working with the utmost integrity, judgment and discretion. ESSENTIAL DUTIES MAY INCLUDE: General

  • Learn Kohler Legal’s services, processes, procedures, and responsibilities.
  • Handle projects expeditiously, proactively, and manage through successful completion.
  • Maintain client files in an organized fashion to ensure they are accessible by other attorneys.
  • Communicate regularly and promptly with managing attorney, support staff, and clients.

Legal Projects

  • Review, analyze and draft corporate documents such as operating agreements, bylaws, shareholder agreements, board resolutions, meeting minutes, and stock transfer agreements.
  • Draft asset purchase agreements, stock purchase agreements and other related documents for business acquisitions and sales. Assist in structuring and negotiating M&A deals, assis with due diligence as needed.
  • Review, analyze and draft business contracts, such as services agreements, manufacturing or distribution agreements, license agreements, joint ventures and partnership agreements.

EDUCATION, SKILLS & EXPERIENCE:

  • Juris Doctor degree from an accredited law school required.
  • License to practice law in California required.
  • Corporate or M&A experience (4-6 years) required.
  • Trademark or other intellectual property experience a plus.
  • Interest in starting part-time and growing into a full time position required.
  • Genuine interest and passion in working for a small business required.
  • Excellent written and verbal communication skills required.
  • Strong problem-solving skills and high attention to detail required.
  • Interest and proven ability to successfully work in a 100% remote environment required.
