Overview

Orrick currently has an excellent opportunity for a Vendor Management Contracts Attorney/Professional. This role could be based in any of our U.S. offices and consideration given for 100% remote US locations. The Opportunity: The Vendor Management Contacts Attorney/Professional will support the internal Firm-wide procurement and vendor management operations. The incumbent will draft and negotiate third party supplier agreements and provide advice on contract processes and policies to internal employees across the Firm. The incumbent will work with internal business lines to support each team’s unique business circumstances and negotiations.

Responsibilities

Review, draft, analyze, negotiate, and process various types of vendor contracts ranging from NDAs to highly complex master services agreements and SaaS agreements. Other contract types include eDiscovery, NDAs, SaaS and other cloud services, artificial intelligence, software, evaluation and pilot agreements, marketing, conference, building lease and security agreements, and professional services agreements, including Statements of Work. Participate and advise on the Firm’s ongoing efforts to revise and develop contract templates and negotiation principles. Assist in cataloging contracts and monitoring vendor performance. Facilitate communication and coordination among stakeholders in the legal, technology, and business teams. Educate others in the Firm on contract issues and core contracting processes and policies, including contract creation and maintenance. Identify and support all training and development needs. Work with Corporate Deputy General Counsel, Firm-wide internal clients and legal associates as needed. Attention to detail is a must.

Qualifications

JD Degree and active admission to practice law in a U.S. jurisdiction or equivalent experience in contracts and procurement. At least 4 years of experience with vendor contract review, including drafting, revising and negotiating various agreements, including software and SaaS license agreements and other cloud services. Proven proficiency in negotiating contracts containing terms and conditions related to data privacy, information security, artificial intelligence, the procurement of technology and services (cloud, SaaS, software, hardware and maintenance), professional services, and general IT procurement is a plus. Must have a strong foundation in contract management, including the ability to draft contract terms, fluency in contract negotiations and comfort managing vendor representatives at all levels. Ideal candidates will have a firm understanding of the relationships among contract management, procurement processes and policies, purchase order and invoice processing, and order management. Excellent communication and interpersonal skills. Commitment to white-glove customer service and meeting the needs of diverse stakeholders, including executive leadership and the partners of the Firm. Ability to manage change within a fast paced, dynamic, and progressive organization. Familiarity with the GDPR, CCPA and other data privacy legislation is a plus but not required. Familiarity with regulations regarding artificial intelligence is a plus but not required. Sound decision making abilities and good judgment. Excellent project management, organizational, analytical, and problem-solving skills. Proficient computer skills including MS Word, PowerPoint and Excel and familiarity in working with a contracts database. Experience working with workflow management tools a plus. Previous experience working for a law firm preferable. Who is Orrick? Compensation and Benefits

The expected salary range for this position is: New York City, Silicon Valley, and San Francisco $160,000 - $185,000 Washington DC, Los Angeles, Orange County, Santa Monica, Sacramento, Boston, and Seattle $155,000 - $175,000 All Other US Locations $150,000 - $170,000 Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
