Assistant Vice President, Associate Counsel

SUMMARY Serves as support to the General Counsel and Deputy General Counsels in providing legal counsel to Prosperity Life Group and its affiliated companies, including four life and annuity underwriting companies (together, “the Company”). Responsibilities include providing direct legal advice to the executive management team and business units and advancing the interests of the Company and its operations. ESSENTIAL DUTIES & RESPONSIBILITIES

  • Provide legal advice and support with regard to a broad range of insurance matters
  • Assist the Deputy General Counsel – Corporate in providing legal support and assistance to the Director, Legal Services, in responding to questions posed by the policyowner services, claims, licensing and commissions, and life and annuity new business teams
  • Assist the Deputy General Counsel – Products and the Product Development team with legal support of product development and launch activities; including review of policy forms, disclosures, and advertising review
  • Proactively engage in the business processes of the Company to anticipate needs and risks and work with specific business areas to manage the same
  • Support the Compliance team within the Legal & Compliance Department as to implementation of regulatory requirement and department of insurance inquiries and exams
  • Draft and review contracts, including confidentiality agreements, consulting agreements and other legal documents requested by the business units
  • Conduct legal research as may be required to perform functions
  • Prepare legal memoranda summarizing state and federal statutory and regulatory requirements
  • Where needed, assist with threatened or pending litigation matters
  • Handle other special projects and duties as may be requested by the General Counsel or Deputy General Counsels

EDUCATION AND/OR EXPERIENCE Juris Doctor is required from an ABA accredited law school. Minimum of 5 years in the practice of law. Must have some direct experience in the life or annuity insurance industry. QUALIFICATIONS To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. COMMUNICATION & LANGUAGE SKILLS Ability to read, analyze and interpret the most complex documents. Ability to respond effectively to the most sensitive inquires or complaints. Ability to produce effective correspondence and written analysis regarding complex issues. Ability to make effective and persuasive oral and written presentations on controversial or complex topics. MATHEMATICAL SKILLS Ability to calculate figures and amounts such as discounts, interest, comm1ss1ons, and percentages. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations. COMPETENCIES Learning and applying new skills, using technology to increase productivity, implementing changes to improve performance, adapting to changes in the work environment, and supporting the achievement of team, department, and company goals. REASONING ABILlTY Ability to apply principals of logical thinking to a wide range of intellectual and practical problems. Ability to use non-verbal symbolism such as formulas, equations, and graphs to determine solutions to problems requiring extensive interpretation of potential outcomes.
